Once a discreet receipt for continuing education credit has been issued, refunds cannot be issued.

Confidential Information means any non-public information including:

• business systems
• marketing strategies

Confidential Information does not include information that:

• becomes publicly available without breach of these Terms
• is required to be disclosed by law
• was previously known before disclosure

Course Materials include all materials provided by 1099 Success Academy including but not limited to:

• videos
• presentations
• worksheets
• spreadsheets
• templates
• frameworks
• calculators
• downloadable guides
• course recordings
• proprietary systems
• digital tools

Intellectual Property Rights

Intellectual Property Rights include copyrights, trademarks, trade secrets, proprietary systems, frameworks, course structures, and related intellectual property rights worldwide.

Online Course

Delivery of educational content via digital platforms where participants access materials remotely.

Taught Course

Live educational sessions delivered via online classroom.

Services

Services include Online Courses, Taught Courses, mentorship, Course Materials, and educational resources provided by 1099 Success Academy.

3. Services

• 3.1 A description of Services and course details are available on the Website.
• 3.2 We provide Services with reasonable care and skill.
• 3.3 We reserve the right to modify or update Services at any time.
• 3.4 Information provided in courses is educational and should not be considered legal, financial, accounting, or tax advice. Participants should consult qualified professionals for their specific circumstances.

4. Ordering Services

• 4.1 To purchase Services you must create an account on the Website.
• 4.2 When placing an order you offer to purchase Services under these Terms.
• 4.3 We reserve the right to decline any order.
• 4.4 A legally binding agreement exists once:
  • a) purchase confirmation email is sent
  • b) payment has been received
• 4.5 Each course purchased is treated as a separate agreement.
• 4.6 1099 Success Academy is not responsible for registering participants with professional licensing or certification organizations.

5. Cancellation and Refund Policy

• 5.1 Orders may be cancelled within 24 hours of purchase if course materials have not been accessed.
• 5.2 Once course materials have been accessed, downloaded, or viewed, refunds are not available.
• 5.3 Once a discreet receipt for continuing education credit has been issued, no refunds may be granted.
• 5.4 Refund exceptions are granted only at the discretion of 1099 Success Academy.
• 5.5 Payment processing fees may be deducted from any approved refund.

6. Fees

• 6.1 Fees are listed on the Website at the time of purchase.
• 6.2 Fees may exclude applicable taxes or payment processing charges.
• 6.3 Payment must be made in full before course access is granted.
• 6.4 Participants are responsible for any costs related to accessing courses or attending live events.

7. Liability

• 7.1 Course information is educational in nature.
• 7.2 1099 Success Academy is not liable for:
  • business decisions made by participants
  • financial losses
  • loss of profit or revenue
  • indirect or consequential damages
• 7.3 Total liability shall not exceed the course fee paid.
• 7.4 Nothing in these Terms limits liability for fraud or matters that cannot legally be excluded.
• 7.5 Claims must be brought within six months of course completion.

8. Intellectual Property

8.1 Ownership

All Course Materials remain the exclusive property of 1099 Success Academy. This includes:

• videos
• worksheets
• spreadsheets
• templates
• calculators
• frameworks
• course structure and curriculum
• digital tools
• downloadable guides

8.2 Prohibited Uses

Participants may not:

• copy or reproduce course materials
• distribute course materials
• upload course materials online
• record course sessions
• share login credentials
• sell or license course materials
• modify course materials
• create derivative works

8.3 Limited License

Participants receive a non-transferable license for personal educational use only. Commercial use is not permitted.

8.4 Copyright Protection

Course materials are protected by copyright law. Unauthorized use may result in:

• termination of access
• legal action
• claims for damages

8.5 Protection of Proprietary Systems

Participants acknowledge that the financial systems, frameworks, strategies, and educational structures taught in the Courses are proprietary intellectual property.

8.6 Prohibition on Derivative Educational Products

Participants may not create educational products derived from the Course Materials for five (5) years following enrollment. This includes:

• competing courses
• coaching programs
• software tools or apps
• lead magnets
• templates or calculators derived from course frameworks

Participants may apply knowledge in their personal professional practice but may not commercialize course systems.

8.7 Non-Solicitation

Participants may not solicit current students or community members for competing programs for three (3) years.

8.8 Remedies for Breach

Violation may result in:

• termination of course access
• injunctive relief
• recovery of damages
• recovery of legal fees

8.9 Non-Circumvention and Commercial Use Restriction

Participants may not recreate or restructure course systems or methodologies for commercial purposes. Participants shall not:

• reverse engineer course frameworks
• build competing programs based on course methodology
• develop apps or software derived from course systems
• publish guides derived from course frameworks
• create educational programs targeting CRNAs using substantially similar systems

8.10 Protection of Proprietary Educational Frameworks

Participants acknowledge that the educational frameworks, course structure, financial models, and proprietary systems taught in the Courses represent intellectual property developed through extensive research and professional experience.

Participants may not recreate or commercially distribute content that substantially reproduces these frameworks, even if modified or reorganized.

Participants may apply knowledge gained within their personal professional practice but may not develop competing educational products or digital tools derived from the proprietary frameworks. Violation constitutes material breach of these Terms.

8.11 Protection of Educational Systems and Methodology

Participants acknowledge that the structure, organization, and methodology of the educational systems taught within 1099 Success Academy represent proprietary intellectual property developed through extensive professional experience, research, and practical application.

This includes but is not limited to:

• structured financial frameworks
• transition methodologies for CRNAs moving from W-2 employment to independent contracting
• financial modeling systems
• proprietary calculators and analytical tools
• course structure and educational sequencing
• strategic tax planning models for CRNAs

Participants agree that they may not replicate, adapt, reorganize, or commercialize these systems, methodologies, or educational structures in a competing educational program, software platform, coaching service, webinar series, or digital application without prior written permission from 1099 Success Academy.

Any attempt to recreate substantially similar educational systems, even if modified, reorganized, or presented in a different format, will be considered a violation of these Terms and may result in legal remedies including injunctive relief, damages, and recovery of legal fees.

8.12 Non-Competition and Software Development Restriction

Participants acknowledge that the methodologies, frameworks, calculators, and analytical systems taught within the Courses are proprietary intellectual property of 1099 Success Academy.

For a period of five (5) years following enrollment in any Course or program, participants agree that they will not develop, commercialize, license, or distribute any competing educational products derived from the methodologies taught within the Courses.

This restriction includes but is not limited to:

• competing educational courses or training programs
• coaching or consulting programs based on course frameworks
• software tools, calculators, or analytical models derived from course materials
• mobile applications, SaaS platforms, or digital tools implementing course methodologies
• downloadable templates, guides, or financial systems based on course frameworks

Participants may apply knowledge gained from the Courses in their personal professional practice; however, they may not create or commercialize educational systems, digital tools, or software platforms derived from the proprietary methodologies taught within the Courses.

Violation of this section constitutes a material breach of these Terms and Conditions and may result in termination of course access, injunctive relief, damages, and recovery of legal fees.

9. Confidentiality

Participants agree that Course Materials constitute Confidential Information and may not be disclosed to third parties. This obligation survives termination.

10. Termination

1099 Success Academy may terminate course access if a participant:

• violates intellectual property provisions
• shares login credentials
• distributes materials
• engages in fraud or misconduct

11. Assignment

Course access is personal and may not be transferred. 1099 Success Academy may assign these Terms to another entity if necessary.

12. Entire Agreement

These Terms together with the Website Disclaimer represent the entire agreement between the parties.

13. Force Majeure

1099 Success Academy is not liable for delays caused by events beyond reasonable control including natural disasters, illness, government action, or technical failures.

14. Data Protection

We collect personal data necessary to deliver Services. We do not sell personal information. Data may include:

• course participation data
• website usage information
• device information

15. Governing Law

These Terms are governed by the laws of the State of Georgia. All disputes shall be resolved in the courts of Georgia.
